Meeting minutes The signed record of what a meeting decided, and where AI can help draft it.
Short answer. Meeting minutes are the written record of what a meeting decided and did. For an Indian company, section 118 of the Companies Act 2013 requires minutes of every general meeting, Board meeting and committee meeting to be prepared, signed and kept within thirty days of the meeting, and each set must contain a fair and correct summary of the proceedings. Board minutes must also name the directors present and any who dissented. Minutes are not a transcript: they are a short summary that a person signs. AI can draft them, but a named person should check and approve the result. This is general information, not legal advice.

What section 118 says
These points summarise section 118 of the Companies Act, 2013 as published on India Code. Other organisations, such as partnerships, trusts, hospitals and colleges, follow their own governing documents and any rules that apply to them. Ask your company secretary or lawyer about your own case.
Minutes of every general meeting, every Board meeting, every committee of the Board and every postal-ballot resolution are to be prepared and signed in the prescribed manner and kept within thirty days of the meeting, in books with consecutively numbered pages.
Each set must contain a fair and correct summary of the proceedings, and must include all appointments made at the meeting.
Board and committee minutes must also name the directors present, and for each resolution the directors who dissented or did not concur.
The Chairman has absolute discretion to leave out matter that he or she considers defamatory, irrelevant or immaterial, or detrimental to the company’s interests.
Minutes kept in this way are evidence of the proceedings, and until the contrary is proved the meeting is deemed duly called and held.
Companies must observe the secretarial standards on general and Board meetings issued by the Institute of Company Secretaries of India.
Default carries a penalty of ₹25,000 for the company and ₹5,000 for each officer in default. Tampering with minutes is punishable with imprisonment of up to two years and a fine of ₹25,000 to ₹1,00,000.

Checklist before signing AI-drafted minutes
Compare every decision and resolution with the transcript line it came from.
Check each name, figure and date against the audio for anything that matters.
Confirm the list of directors present and any dissent, which the draft may have missed.
Decide what the Chairman wants left out, as section 118 allows.
Confirm each action item’s owner with the person themselves.
Keep a record of who approved the final text, and do not change minutes after they are signed.
Finish within the thirty days the section requires.

Where ANVE stands
ANVE’s minutes maker drafts decisions and action items from transcripts in Hindi, English and Hinglish on the office device. Every action item must quote the transcript line it came from, its owner must be confirmed by a person before it is approved, and each confirmation is logged. Roles today are administrator and user; teams, finer roles and single sign-on are not on ANVE yet. What an administrator can see of other people’s drafts is a point to get in writing before a paid pilot. ANVE holds no certifications, and the office’s own legal duties remain the office’s.

Questions people ask
Do minutes need to be signed?
Section 118(1) says minutes of a company’s general, Board and committee meetings are to be prepared and signed in the manner prescribed under the Act. Check your company’s secretarial standards for the detail.
How soon must minutes be prepared?
Section 118(1) requires them to be kept in the minute books within thirty days of the conclusion of the meeting.
Can AI-generated minutes be the official record?
Section 118 does not mention AI. It requires minutes to be prepared and signed, so treat an AI draft as a draft: a person such as the company secretary or the chair should check it and sign it. This is general information, not legal advice.
Should minutes include everything that was said?
No. Section 118(2) asks for a fair and correct summary of the proceedings, and section 118(5) lets the Chairman leave out matter that is defamatory, irrelevant or immaterial, or detrimental to the company’s interests.
